ASSET MANAGEMENT ADVISORY AGREEMENT

WELLS OPERATING PARTNERSHIP, L – ADVISORY AGREEMENT (Agreement) is made and entered into as of the 1st day of January, 2005, by and among WELLS REAL ESTATE INVESTMENT TRUST, INC., a Maryland corporation (Wells REIT), WELLS OPERATING PARTNERSHIP, L .P., a Delaware limited partnership (Wells OP), and WELLS MANAGEMENT COMPANY, INC., a Georgia corporation (Asset Advisor).
