AIRCRAFT LEASE AGREEMENT
This Lease Agreement, dated as of the ____th day of December, 1999 (the
"Lease"), is by and between Maurice J. Gallagher, Jr. and Timothy P. Flynn,
each, an individual person (each of whom are married persons) having residence
in the State of Nevada (jointly, the "Lessor"), and MGC Communications, Inc. a
corporation organized and existing under the laws of the State of Nevada
("Lessee").
In consideration of and subject to the mutual covenants, terms and conditions
contained in this Lease, Lessee and Lessor agree as follows:
The Lease set forth as follows constitutes a sublease of the Aircraft. Lessor
currently leases the Aircraft from Pacific Coast Group, Inc., a Nevada
corporation, the Owner pursuant to an Aircraft Lease Agreement dated ________,
1999 (hereinafter, the "Headlease").
Capitalized terms shall be as defined in this Lease and in Exhibit A hereto.
SECTION 1. LEASE OF AIRCRAFT; DELIVERY; CONDITIONS PRECEDENT.
1.1 Lease of Aircraft. Subject to satisfaction of the conditions set forth
in Section 1.3 hereof, Lessor agrees to and does hereby rent, lease and hire,
and Lessee agrees to and does hereby rent, lease and hire the Aircraft described
in the Aircraft Lease Supplement (the "Supplement"), to be executed by Lessor
and Lessee upon delivery of the Aircraft to Lessee hereunder. Such Supplement
shall be substantially in the form annexed hereto as Exhibit B. By execution and
delivery of the Supplement by Lessee, Lessee shall confirm to Lessor that Lessee
has accepted the Aircraft for lease hereunder and is satisfied that the Aircraft
has been delivered by Lessor in the condition required by the Lease. Whenever
reference is made herein or in the Supplement to the Lease, it shall include the
Lease and the Supplement, all of which shall be deemed the Lease of the Aircraft
described in the Supplement and to which all of the terms and provisions hereof
shall apply.
1.2 Delivery. The Aircraft shall be tendered for delivery to Lessee at Las
Vegas, NV. Upon such tender, Lessee shall be entitled to inspect the Aircraft
and determine, in its sole discretion whether or not to accept delivery of and
lease the Aircraft. If Lessee refuses to accept delivery or fails to accept
delivery within a reasonable time after such inspection, Lessor may, by written
notice, terminate this Lease, whereupon neither Lessee nor Lessor shall have any
further rights or obligations hereunder. Acceptance of delivery of the Aircraft
by Lessee shall be on an "AS IS, WHERE IS" basis and in accordance with the
further terms hereof.
1.3 Conditions Precedent and Condition Subsequent. Lessor's obligation to
lease or deliver the Aircraft hereunder shall be subject to and conditioned upon
satisfaction of the following conditions precedent on or before the Delivery
Date and in the case of (e), after the Delivery Date:
(a) Lessor shall have received the payment of Basic Rent for the first
month of the Term as set forth in Section 3.1;
(b) the representations and warranties of Lessee contained in Section 5
hereof shall each be true and accurate on and as of the Delivery Date
(except to the extent that such representations and warranties relate
solely to an earlier or later date);
(c) no event shall have occurred and be continuing, or shall reasonably be
expected to occur, which would constitute an Event of Loss or an Event of
Default or which would constitute an Event of Loss or an Event of Default
but for the lapse of time or the giving of notice or both; and
(d) Lessor shall have received the following, in each case in form and
substance satisfactory to Lessor, on or before the Delivery Date:
(i) a Lease Supplement (including Delivery Receipt) duly authorized
and executed by Lessee, covering the Aircraft and effective as of
the Delivery Date for the Aircraft;
(ii) an insurance certificate and report with respect to the
Aircraft as required by Section 12 hereof; and,
(iii) such other documents as the Lessor may reasonably request.

THIS AIRCRAFT LEASE AGREEMENT [49587], made as of this 16th day of
November, 1995 (the "Lease"), by and between OLIVIA CORP., a corporation formed
under the laws of Delaware ("LESSOR"), and RENO AIR, INC., a corporation formed
under the laws of Nevada ("LESSEE").
WHEREAS, LESSEE desires to lease the Aircraft (as hereinafter
defined) from LESSOR and LESSOR is willing to lease the Aircraft to LESSEE, in
accordance with and subject to the terms and conditions of this Lease.
NOW, THEREFORE, in consideration of the mutual covenants and
conditions contained herein and other good and valuable consideration, the
receipt and sufficiency of which is acknowledged by the parties hereto, LESSOR
and LESSEE agree as follows:
SECTION I
DEFINITIONS
The following terms shall have the following respective meanings for
all purposes of this Lease and shall be equally applicable to both the singular
and the plural forms of the terms herein defined. Any agreement referred to
below shall mean such agreement, as amended, supplemented and modified from time
to time:
"Act" shall mean Subtitle VII of Title 49 of the United States Code
and the rules and regulations promulgated thereunder.
"Affiliate" shall mean, with respect to any Person, any other Person
which, directly or indirectly, controls or is controlled by or is under common
control with such Person.
"Agreed Value" shall mean Fourteen Million Dollars ($14,000,000.00)
with respect to the Aircraft.

"Air Authority" shall mean, as applicable, the DOT, the FAA and/or
the Administrator of the FAA, or any predecessor or successor thereto.
"Aircraft" shall mean the Airframe, together with the two (2)
Engines (or any Replacement Engine substituted for either of such Engines
hereunder), all as more particularly described on Exhibit "A" hereto, whether or
not any of such initial or Replacement Engines may, from time to time, be
installed on such Airframe or may be installed on any other airframe or any
other aircraft.
"Aircraft Documents" shall mean the items identified in Exhibit "B"
hereto.
"Airframe" means (i) the McDonnell Douglas model MD-87 aircraft
(excluding Engines or engines from time to time installed thereon) bearing U.S.
registration no. N753RA and manufacturer's serial no. 49587, and (ii) any and
all Parts, so long as the same shall be incorporated in such Airframe, and any
and all Parts removed from such Airframe, so long as title to such Parts shall
remain vested in LESSOR in accordance with the terms of Section 8(A).
"Airframe Reserve" shall have the meaning set forth in the Lease
Supplement.
"Approved Insure " shall mean any reputable insurance company or
insurance broker, approved by LESSOR, for the purpose of providing or confirming
the existence of any insurance required under this Lease.
"APU" means (i) the auxiliary power unit listed in the Lease
Supplement, (ii) any and all Parts, so long as such Parts are incorporated in,
installed on or attached to such auxiliary power unit or so long as title to
such Parts is vested in LESSOR in accordance with the terms of Section 8(A)
after removal from such auxiliary power unit, and (iii) insofar as the same
belong to LESSOR, all substitutions, replacements or renewals from time to time
made in or to such auxiliary power unit or to any of the Parts referred to in
clause (ii) above, as required or permitted under this Lease.
"Authorized Maintenance Performer" shall mean any FAA authorized
repair station or any authorized FAA Part 121 air carrier having the authority
to perform maintenance and repairs to aircraft of the same type as the Aircraft.
The identity of the Authorized Maintenance Performer and such other information
about such party shall be disclosed by LESSEE to LESSOR upon LESSOR's reasonable
request.

certificate.
"Overdue Rate" shall mean the rate of interest announced or
published from time to time by Citibank, N.A. , New York, New York as its base or

AIRCRAFT LEASE AGREEMENT
THIS AIRCRAFT LEASE AGREEMENT is made and entered into as of August 14, 2000.
BETWEEN:
FRONTIER AIRLINES, INC., a Colorado corporation whose address and principal place of business is at
12015 East 46th Avenue, Suite 200, Denver, Colorado 80239 ("LESSEE") and
INTERNATIONAL LEASE FINANCE CORPORATION, a California corporation whose address and principal place
of business is at 1999 Avenue of the Stars, 39th Floor, Los Angeles, California 90067, United States of
America ("LESSOR").
The subject matter of this Lease is one (1) used B737-300 aircraft as more particularly described on
Exhibit A attached hereto. In consideration of and subject to the mutual covenants, terms and conditions
contained in this Lease, LESSOR hereby agrees to lease to LESSEE and LESSEE hereby agrees to lease from
LESSOR the aircraft and the parties further agree as follows:
ARTICLE 1 SUMMARY OF TRANSACTION
The following is a summary of the lease transaction between LESSEE and LESSOR. It is set forth for
the convenience of the parties only and will not be deemed in any way to amend, detract from or simplify the
other provisions of this Lease.
1.1 Description of Aircraft
One used Boeing B737-300 aircraft with two (2) installed CFM56-3C1 engines, all as
more particularly described on Exhibit A hereto
1.2 Scheduled Delivery Date and Location
On or about August 17, 2000 at the TIMCO maintenance facility at Greensboro, North
Carolina.
1.3 Initial Lease Term
Approximately 38 months ending on November 1, 2003. However, upon prior written
notice to LESSEE given on or before November 1, 2002 LESSOR may elect to continue such
initial lease term until July 31, 2004

AIRCRAFT LEASE AGREEMENT
THIS AGREEMENT is made as of the 7th day of January, 2000 between:-
(1) AVIATION FINANCIAL SERVICES INC., a company incorporated under the
laws of Delaware and a wholly owned subsidiary of General Electric
Capital Corporation whose principal place of business is at c/o GE
Capital Aviation Services, Inc., 201 High Ridge Road, Stamford,
Connecticut, 06927 ("Lessor"); and
(2) FRONTIER AIRLINES, INC., a company incorporated under the laws of the
State of Colorado whose principal place of business is at 12015 East
46th Avenue, Denver, Colorado, 80239, United States of America
("Lessee").
WHEREAS: Lessor wishes to lease to Lessee and Lessee is willing to lease
from Lessor the Aircraft on the terms of this Agreement. IT IS AGREED as
follows:-
1. INTERPRETATION
1.1 DEFINITIONS
In this Agreement the following expressions have the meanings set out
opposite:-
After-Tax Basis
in the case of any amount payable on an "After-Tax
Basis" to or for the benefit of any Person (including any
amount payable pursuant to this definition) (a "Required
Payment"), the total amount that must be paid is the amount
such that, after deduction of the net amount of all Taxes
required to be paid by such Person with respect to the
receipt or accrual by it of such amount (and assuming that
such Person is subject to (i) United States Federal income
tax at the highest marginal statutory rate imposed on
corporations for the relevant period, (ii) United States
state and local income taxes at the composite of the highest
marginal statutory rates imposed on such Person for the
relevant period, as such composite rate shall be certified
by a financial officer of such Person, and (iii) income
taxes (if any) imposed by countries outside the United
States at the actual rates imposed on such Person) the net
amount received is the amount of the Required Payment.

AIRCRAFT LEASE AGREEMENT
THIS AGREEMENT is made as of the 7th day of January, 2000 between:-
(1) AVIATION FINANCIAL SERVICES INC., a company incorporated under the
laws of Delaware and a wholly owned subsidiary of General Electric
Capital Corporation whose principal place of business is at c/o GE
Capital Aviation Services, Inc., 201 High Ridge Road, Stamford,
Connecticut, 06927 ("Lessor"); and
(2) FRONTIER AIRLINES, INC., a company incorporated under the laws of the
State of Colorado whose principal place of business is at 12015 East
46th Avenue, Denver, Colorado, 80239, United States of America
("Lessee").
WHEREAS: Lessor wishes to lease to Lessee and Lessee is willing to lease
from Lessor the Aircraft on the terms of this Agreement. IT IS AGREED as
follows:-
1. INTERPRETATION
1.1 DEFINITIONS
In this Agreement the following expressions have the meanings set out
opposite:-
After-Tax Basis
in the case of any amount payable on an "After-Tax
Basis" to or for the benefit of any Person (including any
amount payable pursuant to this definition) (a "Required
Payment"), the total amount that must be paid is the amount
such that, after deduction of the net amount of all Taxes
required to be paid by such Person with respect to the
receipt or accrual by it of such amount (and assuming that
such Person is subject to (i) United States Federal income
tax at the highest marginal statutory rate imposed on
corporations for the relevant period, (ii) United States
state and local income taxes at the composite of the highest
marginal statutory rates imposed on such Person for the
relevant period, as such composite rate shall be certified
by a financial officer of such Person, and (iii) income
taxes (if any) imposed by countries outside the United
States at the actual rates imposed on such Person) the net
amount received is the amount of the Required Payment.

AIRCRAFT LEASE AGREEMENT
THIS AGREEMENT is made as of the 7th day of January, 2000 between:-
(1) AVIATION FINANCIAL SERVICES INC., a company incorporated under the
laws of Delaware and a wholly owned subsidiary of General Electric
Capital Corporation whose principal place of business is at c/o GE
Capital Aviation Services, Inc., 201 High Ridge Road, Stamford,
Connecticut, 06927 ("Lessor"); and
(2) FRONTIER AIRLINES, INC., a company incorporated under the laws of the
State of Colorado whose principal place of business is at 12015 East
46th Avenue, Denver, Colorado, 80239, United States of America
("Lessee").
WHEREAS: Lessor wishes to lease to Lessee and Lessee is willing to lease
from Lessor the Aircraft on the terms of this Agreement. IT IS AGREED as
follows:-
1. INTERPRETATION
1.1 DEFINITIONS
In this Agreement the following expressions have the meanings set out
opposite:-
After-Tax Basis
in the case of any amount payable on an "After-Tax
Basis" to or for the benefit of any Person (including any
amount payable pursuant to this definition) (a "Required
Payment"), the total amount that must be paid is the amount
such that, after deduction of the net amount of all Taxes
required to be paid by such Person with respect to the
receipt or accrual by it of such amount (and assuming that
such Person is subject to (i) United States Federal income
tax at the highest marginal statutory rate imposed on
corporations for the relevant period, (ii) United States
state and local income taxes at the composite of the highest
marginal statutory rates imposed on such Person for the
relevant period, as such composite rate shall be certified
by a financial officer of such Person, and (iii) income
taxes (if any) imposed by countries outside the United
States at the actual rates imposed on such Person) the net
amount received is the amount of the Required Payment.

THIS AIRCRAFT LEASE AGREEMENT is made as of April 20, 2000 and is BETWEEN:
(1) Aviation Financial Services, Inc., a corporation incorporated under the
laws of Delaware and a wholly owned subsidiary of General Electric Capital
Corporation, a New York corporation ("GECC") having its principal place of
business at c/o GE Capital Aviation Services, Inc., 201 High Ridge Road,
Stamford, Connecticut 06927 ("Lessor"); and
FRONTIER AIRLINES, INC., a corporation incorporated under the laws of Colorado
with its principal place of business and chief executive office at 12015
East 46th Avenue, Suite 200 Denver, Colorado 80239 ("Lessee").
WHEREAS:
(A) Lessee wishes to lease the Aircraft (as defined below) from Lessor, and
Lessor wishes to lease the Aircraft to Lessee, on the terms and subject
to the conditions provided herein;
(B) GECC and Lessee have entered into the Common Terms Agreement (as
defined below) in respect of aircraft that may be leased from time to
time by Lessee or one of its Affiliates from Lessor or one of its
Affiliates; and
(C) Lessor and Lessee wish to incorporate by reference such Common Terms
Agreement, as well as Schedules A and B attached hereto, into this
Aircraft Lease Agreement for each of the Aircraft;
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, the parties hereto hereby agree as follows:
